Article1Definitions
1.1“Aeptance”meanstheBuyeraeptedtheEquipmentinaordancewithArticle11.5.
1.2“missioning”meanstheoperationoftheEquipmentinaordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest.
1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.
1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendix1.
1.5“DestinationAirport”refersto_____________Airport.
1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.
1.7“Equipment”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheSelleraslistedinAppendix3.
1.8“Erection”meansplacingtheEquipmenttothepositionsaordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.
1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.
1.10“JobSite”meansthesitewheretheEquipmentshallbelocatedand/orerected,namely____.
1.11“Know-how”referstoanyvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,missioning,PerformanceTest，operationandmaintenancefortheEquipmentaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunknowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbytheSellerforkeepingKnow-howinsecrecy.ThespecificdescriptionofKnow-howissetforthinAppendix3.
1.12“LastShipment”meanstheshipmentwithwhichtheaumulatedinvoicevalueofshippedgoodshasreached____()percentofthetotalEquipmentprice.
1.13“Patent”referstoanyandalloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,missioning,PerformanceTest,operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendix3.
1.14“PerformanceTest”meansthetestsforexaminingwhethertheEquipmentisabletomeetguaranteefiguresspecifiedinAppendix1.
1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandexplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,missioning,PerformanceTest，operationandmaintenancefortheEquipment,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendix4.
1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendix6.
1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendix7.
1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemoftheEquipmentwithoutmaterials.
1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsoftheEquipmentasperArticle12.
Article2ScopeoftheContract
2.1TheSeller’sObligation
2.1.1TheSellershallsupplytheEquipment,providethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orKnow-howassetforthintheContract.
2.1.2TheSellershallsupplytheEquipmentwhichislistedinAppendix3,thespecificationisdetailedinAppendix1.
2.1.3TheSellershallprovidedesigninaordancewithAppendix5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendix4.
2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendix6.
2.1.5TheSellershallconducttheTechnicalTrainingasperAppendix7.
2.2TheBuyer’sObligation
2.2.1TheBuyershallathisowncostsandexpenses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendix2.TheBuyershallensurethepleteness,correctnessandauracyofallsuchinformationanddata.
2.2.2TheBuyershallathisowncostsandexpenses,obtainallnecessaryimportpermits,undertakecustomsclearance,takedeliveryoftheEquipmenttobesuppliedbytheSellerandtransportthemtotheJobSiteintime.
2.2.3TheBuyershallathisowncostsandexpenses,performallthecivilworks,construction,Erection,TestRun，missioningandPerformanceTestinaordancewiththeTechnicalDocumentationundertheTechnicalServicesrenderedbytheSellerasperAppendix6.
2.2.4TheBuyershallathisowncostsandexpenses,supplyalltheequipments,sparepartsandfacilitiesrequired,exceptfortheEquipmentsuppliedbytheSellerasperAppendix3.
2.2.5TheBuyershallathisowncostsandexpenses,providethequalifiedandappropriatetechnicalpersonnel,labor,tools,utilitiesandtheJobSiteintimeforErection,TestRun,missioning,andPerformanceTestasspecifiedinAppendix2.
2.2.6TheBuyershallathisowncostsandexpenses,performnecessaryadministrationandsecurityguardattheJobSite.
Article3GrantofLicense
3.1TheSelleragreestogranttotheBuyerandtheBuyeragreestoobtainfromtheSelleralicensetomanufacturetheContractProductsaswellastoconductErection,TestRun,missioning,PerformanceTest,operationandmaintenancefortheEquipmentwithPatentand/orKnow-howaswellastouseandselltheContractProducts.Thename,model,specification,andtechnicaldataoftheContractProductsaredetailedinAppendix1.TheBuyershallnotmakeuseofPatentand/orKnow-howforanypurposesotherthanthosestipulatedintheContractwithoutpriorwrittenapprovalfromtheSeller.TheannualoutputoftheContractProductsmanufacturedbytheBuyershallinnocaseexceed_______________.
3.2(Option1)ThelicensegrantedundertheContractshallbeanexclusivelicense.TheSellershallnotretainitsrighttograntthelicensestoanythirdparties,ortoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.
(Option2)ThelicensegrantedundertheContractshallbeanon-exclusivelicense.TheSellershallretainitsrighttograntthelicensestoanythirdparties,andtoexplorePatentand/orKnow-howaswellastoselltheContractProductsbyitselfwithintheterritoryspecifiedinArticle3.4.
3.3ThelicensegrantedundertheContractshallbeanon-transferableandnon-sublicensinglicense,underwhichtheBuyershallneitherbeentitledtotransfernrantsub-licensetoanythirdpartywithoutpriorwrittenapprovalfromtheSeller.
3.4Territory
3.4.1TheSelleragreestograntthelicensetotheBuyeronlywithintheterritoryof_________________(countryorregion).TheBuyershallnotexplorePatentand/orKnow-howinanyplaceotherthantheJobSitewithoutpreviouswrittenconsentoftheSeller.
3.4.2TheSelleragreestograntalicensetotheBuyertouseandselltheContractProductsonlywithintheterritoryof________________________(Countryorregion).IncasetheBuyerfailstoperformitsobligationsunderthisClause,alltheactuallossesanddamagesthusincurredtotheSellershallbebornebytheBuyer,andtheSellershallhavetherighttoterminatetheContractwithoutprejudicetoanyremediesspecifiedintheContract.

4.1TheBuyeragreestopaythetotalContractprice,TechnicalTrainingandTechnicalServicefeetotheSeller.

4.2.1ThetotalContractpricefortheEquipmentisfordeliveryCIF_____Port,andtheTechnicalDocumentationsisfordeliveryCIP(byair)______Airport.CIFandCIPtermshallbeinterpretedinaordancewithINCOTERMS20xx,issuedbytheINTERNATIONALCHAMBEROFMERCE(I).
4.2.2ThetotalContractpriceincludesthepriceforsparepartslistedinAppendix3.However,thetotalContractpricedoesnotcoverthesupplyofanyotherspareparts.AttheBuyer’srequest,theSellermayprovidewithanyotherspareparts.Aseparateagreementshallbesignedbetweentheparties.
4.2.3Theabovepriceisfixedandfirm.
4.3ThetotalContractpricedoesnotcovertheTechnicalServicefeeandTechnicalTrainingfeespecifiedinAppendix6,7.
4.4ThetotalContractpriceaswellastheTechnicalTrainingandTechnicalServicefeeshallnotberegardedorinanywaybeexplainedorinterpretedascoveringanyofthecustomduties,taxes,orcharges,fees,andexpensesunlessexpresslylistedintheContract.

6.1.2Within____()monthsaftertheEffectiveDateoftheContract,theSellershallsendtotheBuyerapreliminarydeliveryschedulebyfax.
Notlaterthan____()daysbeforethefirstshipment,theSellershallsubmittotheBuyerthefinaldeliveryscheduleinthree(3)copiesindicatingContractnumber,dispatchnumber,nameoftheEquipment,quantity,approximatedimensions,volumeofeachpackageandtimeofeachshipment.
6.1.3Theportofshipmentis____,whiletheportofdestinationis____.
6.1.4Advanceshipment,partialshipmentandtransshipmentareallowed,however,theSellershallinformtheBuyerthirty(30)daysbeforesuchshipment.

6.2TheLateDeliveryoftheEquipment
6.2.1IftheSellerfailstodelivertheEquipmentinaordancewiththefinaldeliveryschedule,theSellershallpaytotheBuyerliquidateddamagesforsuchdelayatthefollowingrates:
(a)Fromthefirstweektothefourthweek,theliquidateddamagesshallbe

6.3TheDeliveryoftheTechnicalDocumentation
6.3.1TheTechnicalDocumentationlistedinAppendix4shallbedeliveredCIP____airportbyairwithin____()monthsaftertheEffectiveDateoftheContract.
6.3.2ThedateofairwaybillshallberegardedastheactualdeliverydateoftheTechnicalDocumentation.
6.3.3Within____()workingdaysaftersendingeachlotoftheTechnicalDocumentation,theSellershallinformtheBuyeroftheContractnumber,itemnumber,numberanddateofairwaybillandtheflight.
6.3.4Incaseofshortage,lossofordamagetotheTechnicalDocumentationduetotheSeller’sreason,theSellershallmakesupplementtotheBuyerwithin____()daysafterreceivingtheBuyer’swrittennotificationwithoutanyfurthercharge.

7.3Eachpackageshallcontainone(1)copyofpackinglist.
7.4TheSellershallmarkonthepackage,ifnecessary,“HandlewithCare",“RightSideUp",“Fragile"orotherindicativemarksaordingtothecharacteristicsandfeatureofthegoodsaswellasdifferentrequirementfortransportation,loadingandunloadingofthegoods.
7.5Ifthegoodsweighthree(3)ormorethanthree(3)metrictons,gravity,hoistingpositionandillustrativemarksshallbemarkedsoastofacilitateloading,unloadingandhanding.
7.6AllTechnicalDocumentationprovidedbytheSellershallbeproperlypackedtowithstandlongdistancetransportationandmultiplehandling.Thesurfaceofeachpackageshallbemarkedwiththefollowingwords:

Article8TechnicalServiceandTechnicalTraining
8.1TheSellershalldispatchtechnicalpersonneltoJobSitetorenderTechnicalServiceinaordancewithContractaordingtoatimescheduleagreeduponbetweenbothparties.Thenumber,specialty,rank,treatmentofthepersonnel,andpaymentaswellasthecontents,andrequirementsofTechnicalServicearespecifiedinAppendix6.
8.2TheBuyershallhavetherighttosenditstechnicalpersonneltotherelevantfactoryselectedbytheSellerfortraining.Thenumber,speciality,treatmentofthepersonnel,andpaymentaswellasthecontents,timeschedule,andrequirementoftraining,arespecifiedinAppendix7.
8.3Eitherpartyshallprovideassistancetotheotherparty’stechnicalpersonnelintheirapplicationforvisa,workingpermit,and/orothernecessaryformalitiesforrenderingTechnicalServiceortrainingundertheContractintheotherparty’sfactory.
8.4EitherParty’stechnicalpersonnelshallabidebythelawsoftheotherparty’scountryandtheregulationsoftheotherpartyduringtheirstayintheotherparty’scountry.
Article9StandardsandInspection
9.1TheSellershallcarryoutthedesign,manufacture,inspectionandtestoftheEquipmentaordingtotheexistingstandardsofthePeople’sRepublicofChina,namelyGB.
9.2TheSellerorthemanufacturershall,athisowncostsandexpenses,inspecttheEquipmentandissuetheex-workqualitycertificate.
9.3Theopen-caseinspectionoftheEquipmentshallbeperformedbytheBuyerinthepresenceoftheSeller’srepresentativesontheJobSiteindaysafterthearrivaloftheEquipmentattheJobSite.Theopen-caseinspectionfeeshallbebornebytheBuyer.
TheBuyershallinformtheSellerofthedateone(1)monthbeforethedateofopencaseinspectionandshallalsorenderassistancetotheSeller’srepresentativesintheirinspectionwork.
9.4Duringthejointopen-caseinspection,adetailedinspectionrecordshallbemadeandsignedbytherepresentativesofbothparties.
IncasetheSellerisresponsibleforanydefectorshortageoftheEquipment,theinspectionrecordshallbetakenasaneffectiveevidencefortheBuyertoclaimrepair,replacementorsupplementtotheSeller.AnyofsuchclaimsshallbelodgedbytheBuyerwithinmonth(s)afterthearrivaloftheEquipmentattheJobSite.
9.5Ifanyshortage,defectofordamagetotheEquipmentisfoundinopen-caseinspectionnotattributabletotheSeller’sresponsibility,theSellershallmakerepair,replacementorsupplementattheBuyer’sexpensesinaordancewiththeseparateagreementsignedbybothparties.
9.6TheBuyerisnotentitledtoopenthecase,assembleand/ordisassembletheEquipmentwithouttheSeller’spriorwrittenconsent.
IfthereisnojointopencaseinspectionduetothereasonsnotattributabletotheSeller,thequantityandapparentqualityoftheEquipmentshallbedeemedcorrectandinperfectcondition.
Article10DesignandDesignLiaison
10.1TheBuyershallprovidetotheSellerwithin____()daysaftertheEffectiveDateoftheContract,allthedesigndatawhichshallbetakenasthedesignbasis.TheSellershallnotbeliabletotheBuyerfor,andtheBuyershallindemnifytheSellerandholdtheSellerharmlessfromanydamagesorfailurecausedbytheinpleteness,incorrectnessand/orinauracyofanysuchinformationanddata.
10.2Adesignliaisonmeetingshallbeheldinthe____()monthafterreceivingabovementioneddesigndata,theSellerwilldispatchhistechnicalpersonneltotheJobSitetoparticipateinthemeeting.Duringthemeetingperiod,theSellerwilldiscusswiththeBuyertherelevantdesigndetails.Bothpartiesshallsignanagreementoutliningthedesigndetails.
10.3Duringthedesignliaisonmeeting,theSellerandtheBuyershallprovideassistancetotheother’sdispatchedpersonnelinarrangingentryvisastotherespectivecountries.Theexpenseincurredonthedispatchedpersonnelshallbebornebythepartyrespectively.
Article11Erection,TestRun,missioning,PerformanceTestandAeptance
11.1TheErection,TestRun,missioning,PerformanceTestshallbeconductedbytheBuyer.
11.2ChiefRepresentatives
11.2.1Eachpartyshallnominateone(1)ChiefRepresentativetodealwiththetechnicalmattersduringtheperiodfromthestartoftheErectiontoAeptanceoftheEquipment.
11.2.2DetailedarrangementsshallbemadethroughfriendlydiscussionsbytheChiefRepresentativesofbothparties.TheChiefRepresentativesofbothpartiesshallfullycooperatetocarryouttheirdutiesstipulatedintheContract,howevertheyhavenorighttorevise,alteroramendtheContractwithoutthewrittenauthorizationofbothparties.
11.2.3TheChiefRepresentativesofbothpartiesshallmunicatethroughLinkingSheetforthemattersrelativetoopinions,suggestionsandinformation.Thelinkingsheetshallbecountersignedbytheotherparty.
11.3ErectionandTestRun
11.3.1TheErectionshallbepletedbytheBuyerin____()daysfromtheeffectivedateoftheContract.TheSeller’sChiefRepresentativeshallarriveattheJobSite____()dayspriortothebeginningoftheErection.
11.3.2WhenErectionispletedandinfullconformitywithrequirementsoftheTechnicalDocumentation,aCertificateofpletionforErectionoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.ThedateofsigningsaidCertificateshallbedeemedasthedateofpletionofErection.
11.3.3AssoonasthepletionofErection,TestRunforsinglemachineandthewholesystemoftheEquipmentshallbestarted.
11.3.4WhenTestRunhasbeensuessfullyperformed,aCertificateofpletionforTestRunoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.ThedateofsigningthesaidCertificatesshallbedeemedasthedateofpletionofTestRunoftheEquipment.
11.4missioningandPerformanceTest
11.4.1Within____()daysafterthepletionoftheTestRun,theBuyershallmakeavailablequalifiedoperationandmaintenancepersonnel,rawmaterials,spareparts,utilitiesandothermattersrequiredforthemissioning.Detailedproceduressuchasinstrumentcalibrating,itemsofrecording,samplingmethodsandanalyzingmethods,whicharenecessaryforthemissioningshallbediscussedandagreeduponbytheChiefRepresentativesofbothparties.
Ifintheopinionofbothparties,theEquipmentisreadyforthemissioning,bothpartiesshallconfirmthereadinessforthemissioninginwriting.
11.4.2ThemissioningoftheEquipmentshallbestartedimmediatelyaftertheconfirmationofthereadinessforthemissioning.Themissioningperiodshall____()daysaftermencementofthemissioning.
11.4.3WhentheSellerandtheBuyerconsiderthatstableoperationoftheEquipmenthasbeenachieved,thedateofPerformanceTestshallbefixedbyChiefRepresentativesofbothparties.
11.4.4TheSellershallhavetherighttoaesstothelaboratoryandtestingfacilitiesinordertotakesamplesandmakeanalyticaltests.ThesampletakingandanalyticaltestduringthemissioningperiodwillbedoneinthepresenceoftheChiefRepresentativesofbothparties.
11.4.5DuringtheperiodofmissioninguntilAeptanceoftheEquipment,theSellermayusetheBuyer’sstoredspareparts.ShouldtheBuyer’sstoredsparepartsbeusedbytheSellerduetotheSeller’sresponsibility,theSellershallreplenishthestoreswiththesameintimeatJobSite;otherwisetheSellershallprovidethesameattheBuyer’scostsupontheBuyer’stimelyrequest.
11.4.6IftheresultofPerformanceTesthasreachedtheguaranteefiguresasperAppendix1,theAeptanceCertificateoftheEquipmentshallbesignedbytheChiefRepresentativesofbothpartiesintwo(2)originals,oneforeachparty,withinthree(3)days.
11.4.7IfthePerformanceTestcannotmeetguaranteefiguresspecifiedinAppendix1,bothpartiesshalljointlymakeinvestigationssoastofindoutthereasonforclarifyingtheresponsibility.
11.4.8IftheguaranteefiguresarenotmetduetotheSeller’sreason,theBuyershallagreetogiveanextensionof____()monthssothattheSellercanmakeimprovementoradjustmenttotheEquipmentandconductfurtherPerformanceTest.AllthecostsandexpensesformakingimprovementoradjustmenttotheEquipmentshallbebornebytheSeller.
11.4.9Duringtheextensionperiod,iftheguaranteefiguresarestillnotmetduetotheSeller’sreason,theSellershallpaytheliquidateddamagesasperAppendix1totheBuyeragainsttheAeptanceCertificatesignedbybothparties.
TheSeller’saggregateliabilitytopayliquidateddamagesforfailuretoattaintheperformanceguaranteesshallnotexceed____()percentoftheEquipmentprice.TheSellershallhavenofurtherliabilitywhatsoevertotheBuyerinrespectofsuchfailureafterpaymentoftheliquidateddamages.
11.4.10Ifthenon-achievementoftheguaranteefiguresisduetothereasonsnotattributabletotheSeller,theSellershallagreetogiveanextensionof____()months.DuringtheextensionperiodallcoststheretoincurredfortheadjustmentoftheEquipment,aswellasthecostsandexpensesfortheSeller’stechnicalpersonnelshallbebornebytheBuyer.IncasetheguaranteefiguresstillcannotbeachievedduetothereasonsnotattributabletotheSellerintheextensionperiod,theEquipmentshallbeaeptedbytheBuyer.BothpartiesshallsigntheAeptanceCertificate.
11.5Aeptance
11.5.1AeptanceshallourinrespectoftheEquipmentwhen:
(a)PerformanceTesthasbeensuessfullypletedaspertheArticle11.4.6.;or
(b)ThePerformanceTesthasnotbeenpletedduetothereasonsnotattributabletotheSellersuchasdelayedcivilconstruction,lackofand/oranyotherinconformityofrawmaterials,sparepartsoftheBuyer’sscopeofsupplyunderAppendix2,andutilitieswiththerequirementsoftheContractinthe____()monthsfromthedateofBillofLadingoftheLastShipment;or
(c)TheSellerhaspaidtheliquidateddamagesasperArticle11.4.9;or
(d)TheguaranteefiguresstillcannotbereachedduetoreasonsnotattributabletotheSeller’sreasonintheextensionperiodasspecifiedinArticle11.4.10;or
(e)TheBuyertakesthesinglemachineandthewholesystemoftheEquipmentintousewithouttheSeller’sapproval.
11.5.2AtanytimeafteranyoftheeventssetoutinArticle11.5.1hasourred,theSellermaygiveanoticetotheBuyerrequestingtheissuanceoftheAeptanceCertificate.
11.5.3TheBuyershallwithinseven(7)daysafterreceiptoftheSeller’snotice,issuesuchAeptanceCertificate.
11.5.4Ifwithinseven(7)daysafterreceiptoftheSeller’snotice,theBuyerfailstoissuetheAeptanceCertificateorfailstoinformtheSellerinwriting,withconvincingevidence,ofthereasonwhytheBuyerhasnotissuedtheAeptanceCertificate,theEquipmentshallbedeemedhavingbeenaeptedontheseventhdayoftheSeller’ssaidnotice.
11.5.5AftertheAeptance,theSeller’sresponsibilitiesandobligationsundertheContractshallbedeemedhavingbeenfulfilledexceptthoseasstipulatedinArticle12and14.
Article12GuaranteeandWarranty
12.1TheSellerguaranteesthat:
(a)TheEquipmentsuppliedbytheSellershallbenewandmadeofadequatematerials,andinconformitywiththetechnicalrequirementsoftheContract;
(b)TheTechnicalDocumentationshallbeplete,clearandcorrect.
12.2TheperiodofwarrantygivenbytheSellerunderArticle12.1shallbe____()monthsfromthedateofAeptanceor____()monthsfromthedateofLastShipment,whicheveresearlier.
12.3DefectoftheEquipment
12.3.1DuringtheWarrantyPeriod,shouldanydefectduetoinferiormaterialsorbadworkmanshipoftheEquipmentbefoundundernormaloperation,theBuyershallgivetheSelleranoticestatingthedetails,togetherwithallavailableevidence.
TheSellershalltakeimmediateactiontoeliminatethedefectattheSeller’sexpenseswithintheperiodagreedbybothparties.
12.3.2Ifcertaindefectcannotbeeliminateddespiteofseveralattempts,theSellershallreplacethedefectivepartswithnon-defectivepartsattheSeller’scostsandexpenses.
12.3.3IfthedefectiseliminatedbytheBuyerhimself,subjecttotheSeller’spriorwrittenconsent,allthedirectcostsandexpensesthusincurredshallbebornebytheSeller.
12.3.4TheSellermayreducethepriceofthedefectiveEquipmentaordingtothedegreeofinferiorityorextentofdamageasagreedbybothparties.AfterthereductiontheSellershallbereleasedfromitsobligationsandliabilities.
12.3.5DuringtheWarrantyPeriod,shouldanydefectduetotheBuyer’simproperoperationormaintenancebefound,theSellerwillprovidetechnicalassistancetoeliminatethedefectorreplacethedefectedpartsuponBuyer’srequests.AllthecostsandexpensesthusourredshallbebornebytheBuyer.
12.3.6SubjecttoArticle12.3.1,TheSellershallnotberesponsibleforanydefectordamagetotheEquipmentarisingoutofanycircumstancesincludingbutnotlimitedtothefollowingcauses:
(a)binationoftheEquipmentwithanymachinery,and/orponentotherthanthosesuppliedbytheSeller;or
(b)Alteration,modificationorrepairwithouttheSeller’spriorwrittenconsent;or
(c)FailureoftheBuyertofollowtheTechnicalDocumentationandinstructionsoftheSeller,includingtheBuyer’simproperoperationandmaintenance;or
(d)Normalwearandtear.
12.4DuringtheWarrantyPeriod,shouldtheTechnicalDocumentationsuppliedbytheSellerbefoundinplete,unclearorincorrectduetotheSeller’sreason,theSellershallbeliabletosupplement,replaceorcorrecttheTechnicalDocumentationfreeofcharge.
12.5TheSellershallinnorespectbeunderstoodorinterpretedasliableforthemercialdevelopmentoftheContractProducts.TheBuyershallundertaketheriskofthemercialdevelopmentoftheContractProducts.
12.6Innocircumstances,whetherasaresultofbreachofcontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,shalltheSelleroritssubcontractorsorsuppliersbeliableforlossofprofitorrevenues,lossofproduction,lossofuse,lossofinformationordata,costofcapital,costofsubstituteequipment,facilities,servicesorreplacementpower,downtimecosts,claimsoftheBuyer’scustomersforsuchdamages,orforanyspecial,consequential,incidental,indirectorexemplarydamages.
12.7NotwithstandinganythingtothecontraryprovidedintheContract,theaggregateliabilityoftheSellertotheBuyer,onallclaimsofanykind,whetherincontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,arisingoutoftheperformanceorbreachoftheContractoruseofanyEquipmentorexplorationofthePatentand/orKnow-howshallnotexceed____()percentofthetotalContractprice.
12.8AllContractualobligationsoftheSellershallbedeemedashavingbeenfulfilledupontheexpirydateoftheWarrantyPeriod.
Article13IntellectualPropertyRight
13.1TheSellerrepresentsthatitisentitledorauthorizedtograntthelicensetotheBuyertousethePatentand/orKnow-howforthepurposeasspecifiedinArticle3.
13.2TheBuyershallnotusesuchPatentand/orknow-howreceivedfromtheSellerforanypurposeotherthanthatasspecifiedinthisContract.
13.3AnyintellectualpropertyrightorothertechnicalinformationgrantedbytheSellertotheBuyershallremainthepropertyoftheSeller.InnocircumstancesshallanytermsandconditionsinthisContractbeconstrued,deemed,orinterpretedastransferoftitletotheBuyerofanyinformationwhichmaybedeliveredtooraessedbytheBuyer.
